SERVICES
What we do
Consulting and transaction intermediation on behalf of vendors — across solar photovoltaic (PV), battery energy storage systems (BESS), hybrid and wind-with-storage assets, and power-secured sites for data centre development, and industrial property. JOA screens, prepares and coordinates through to closing — and stays on through build, revenue contracting and exit.
Origination and screening
Deal flow from developer, utility and government-adjacent channels rather than intermediated processes. Each asset is screened for which return it actually offers — the development spread at ready to build (RTB), or contracted revenue in operation — and whether the seller has already priced it.
SOLAR PV · BESS · HYBRID · WIND + STORAGE
Preparation to institutional standard
The seller's own documents — title, grid connection conditions, permits, yield studies — organised into a documentation index and a risk register, with gaps named rather than smoothed. Models are built to lender standard, downside case first.
DATA ROOM · RISK REGISTER · LENDER-STANDARD MODEL
Coordination to closing
One senior team carries the process on behalf of the vendor from first contact to completion — non-disclosure agreement (NDA), data room, diligence, negotiation and closing — run to a bank's standard of order.
SELL-SIDE PROCESS · DILIGENCE · CLOSING
End-to-end project management
For investors who buy at ready to build (RTB): owner-side management from notice to proceed through commissioning — vetted local engineering, procurement and construction (EPC) contractors, milestone-gated payments, and grant and capacity market deadlines tracked through to commercial operation.
EPC SELECTION · CONSTRUCTION OVERSIGHT · COMMERCIAL OPERATION
PPA and offtake negotiation
Revenue put under contract: power purchase agreements (PPA), offtake and capacity market positions negotiated with industrial buyers, utilities, traders and optimisers — structured to a standard a lender can underwrite.
PPA · OFFTAKE · CAPACITY MARKET
Exit and realisation
Exit is planned from entry: hold-period objectives, the likely buyer universe and the preferred disposal route are defined at underwriting. When the window approaches, JOA prepares the asset for market and coordinates a competitive sell-side process — positioned to realise inside the expected window, not after it.
EXIT PLANNING · BUYER MAPPING · SELL-SIDE EXECUTION
COUNTERPARTIES
Who we work with
Investment banks
M&A · ENERGY & INFRASTRUCTURE · PROJECT FINANCE
Local origination. Mandates and counterparties sourced on the ground in Poland, the Baltics, Slovakia and Ukraine.
Vendor readiness. Documentation index, risk register and lender-standard model completed before a process opens.
On-the-ground coordination. One senior counterpart managing sellers, counsel and technical work in local language and time zone.
Family offices
SINGLE-FAMILY · MULTI-FAMILY
Pre-screened access. Three to five opportunities against a defined mandate, not a broad flow of teasers.
Discretion. Materials move privately, under NDA; coverage is disclosed counterparty by counterparty.
A direct senior relationship. The principals who founded the firm in 2019 run every mandate themselves.
Investment funds
INFRASTRUCTURE · PRIVATE EQUITY · RENEWABLES
Pipeline at mandate scale. A screened flow of ready-to-build and operating assets — single projects or portfolios — matched to deployment targets.
Institutional preparation. Data room, risk register and lender-standard model in place before investment committee time is spent.
Execution on the ground. Diligence coordination, EPC and offtake negotiation, and a sell-side process timed to exit within the fund's hold period.
MARKET
Why Poland and CEE
Central and Eastern Europe (CEE) is buying replacement capacity through binding auctions today, not forecasts — and since the March 2026 Grid Act, connection rights concentrate with projects that can evidence progress. The constraint is not capital. It is turning a contracted pipeline into a built, financeable asset.
Battery storage contracted through Polish capacity market auctions for delivery to 2030 — against under 40 megawatts (MW) operating today.

EU Modernisation Fund grants allocated to 172 Polish storage projects, all to be delivered by end-2028.

PROCESS
How we work
From first contact to closing, one process — run the same way on every mandate.
Scope
One conversation to define technology, ticket size, stage and return requirements — the mandate everything is screened against.
Screened introduction
Three to five screened opportunities presented as anonymised teasers, typically within two weeks.
NDA and data room
On interest, full materials open under NDA: the seller's own documents — title, grid connection conditions, permits, yield studies — behind a documentation index and a risk register.
Diligence coordination
Legal, technical and independent engineer (IE) workstreams coordinated by one team, with the model held to lender standard as findings land — downside case first.
LOI and conditional agreement
Indicative offers converge on a letter of intent (LOI): headline price, exclusivity and timetable. Counsel then documents the transaction as a conditional share purchase agreement (SPA) — purchase price mechanics, warranties, and conditions precedent (CPs) mapped to permits, grid connection and financing.
Closing and completion
Conditions precedent discharged, completion accounts agreed, funds flow. Where risk remains, closing is structured in milestone-gated tranches — the buyer funds as permitting, grid and construction risk retires.
Opportunity materials — teasers, data rooms and mandate details — are shared only under NDA.
Engagements are structured as a retainer plus a success fee, agreed per mandate.
LEADERSHIP
The team and the network
NEW YORK
Transaction leadership team
Transaction structuring and credit judgment run from New York: more than twenty years in commercial and project finance lending across the US, Europe, Israel and emerging markets, with closed transactions from USD 50 million to USD 1.5 billion, including tax equity structures. The team has headed credit risk at a New York commercial bank and a global specialty insurance group, chaired a credit committee and served on an asset and liability committee; its bench includes a European Commission Registered Expert who, in 2024, sat on an investment committee appraising EU energy project finance applications.
WARSAW
Local execution team
Execution run from Warsaw: more than twenty years in Polish financial services and energy — in wind development since 2006, photovoltaics thereafter. The team carries due diligence, financial modelling and negotiation on renewable acquisitions and disposals, and holds registered signing authority (prokura) in Polish companies.
CENTRAL EUROPE
Senior counsel team
Senior counsel drawn from the highest levels of Central European public finance — experience at the vice-presidency of a European multilateral development bank with responsibility for Central Europe, in an EU member state’s economy ministry with energy in the portfolio, as deputy minister of finance, and in the chair of a national investment holding. Energy policy, grid and public funding, read from the inside.
